C.E. Info Systems Limited is a data and technology products and platforms company, offering proprietary digital maps as a service, software as a service and platform as a service. As per the F&S Report (commissioned and paid for by the Company exclusively for the purpose of the Offer), it is India's leading provider of advanced digital maps, geospatial software and location-based IoT technologies. It provides products, platforms, APIs and solutions across a range of digital map data, software and IoT under the MapmyIndia and Mappls brands to marquee and renowned global tech giants, new-age consumer IT companies, leading automotive manufacturers, large businesses across industry segments including BFSI, telecom, FMCG, logistics and key government organisations.

As per the F&S Report (commissioned and paid for by the Company exclusively for the purpose of the Offer), the digital maps and location intelligence services market consists of (i) digital maps services market, and (ii) navigation solutions and telematics market, delivered in a B2B and a B2B2C setting. The total Indian addressable market of digital maps and location-based intelligence services is expected to grow to USD 7.74 billion (Rs. 474.9 billion) in 2025 at around 15.5% CAGR from 2019 to 2025. The total global addressable market is expected to reach around USD 173.61 billion (Rs. 12.9 trillion) by 2025 growing at a CAGR (2019-2025) of 13%.

Company History

C.E. Info Systems Limited was originally incorporated as `C.E. Info Systems Private Limited' at New Delhi as a private limited company under the Companies Act, 1956, pursuant to the certificate of incorporation dated February 17, 1995 issued by the Registrar of Companies, National Capital Territory of Delhi and Haryana at New Delhi (the "RoC"). The Company was converted from a private limited company to a public limited company pursuant to a special resolution passed by its Shareholders at the EGM held on July 7, 2021 and the name of the Company was changed to `C.E. Info Systems Limited'. Consequently, a fresh certificate of incorporation dated July 12, 2021 was issued by the RoC.

Info Systems Limited ('Company" or "Issuer") for cash at a price of Rs. 1,033 per equity share through an offer for sale of 10,063,945* equity shares aggregating to Rs. 1039.61* crores by the selling shareholders ("Offer"), comprising 4,251,044* equity shares aggregating to Rs. 439.13* crores by Rashmi Verma (The "Individual Selling Shareholder"), 2,701,407* equity shares aggregating to Rs. 279.05* crores by Qualcomm Asia Pacific Pte. Ltd.,1,369,961* equity shares aggregating to Rs. 141.52* crores by Zenrin Co., Ltd. (collectively the "Investor Selling Shareholders"), 1,741,533* equity shares aggregating to Rs. 179.90* crores by persons referred to in annexure a (collectively the "Other Selling Shareholders" and together with the individual selling shareholder and the investor selling shareholders, the "Selling Shareholders" and such equity shares offered by the selling shareholders, the "Offered Shares"). The offer constitutes 18.90% of the post-offer paid-up equity share capital of the company. The face value of equity shares is Rs. 2 each.
