Overview
Nuvoco Vistas Corporation Limited was originally incorporated on 8 February 1999 as a Private Limited Company with the name 'Infra Cement India Private Limited' in Mumbai. The name of the Company changed to 'Lafarge India Private Limited' on 25 May 1999. The Company became a deemed Public Limited Company effective from 02 November 1999. Accordingly, the Company became a Private Limited Company with effect from 16 April 2003 Thereafter, the status of the Company again converted to a Public Limited, resulting in change of name to 'Lafarge India Limited' on 12 March, 2016. Pursuant to divestment by erstwhile Shareholders in the Company in 2016 and resolution dated 08 March 2017 passed by the Shareholders, name of the Company was changed to 'Nuvoco Vistas Corporation Limited' issued by the RoC on 10 March 2017. The Company is a part of India's leading business conglomerate, Nirma Group, which forayed into cement business in 2014 through a greenfield cement plant in Nimbol, Rajasthan. Today, the Company has nearly 11 cement plants, comprising 5 integrated units, 5 grinding units and 1 blending unit, in the States of West Bengal, Bihar, Odisha, Jharkhand and Chhattisgarh in East India and Rajasthan and Haryana in North India with a combined installed capacity of 23.82 MMTPA. It is also a leading Ready Mix Concrete (RMX) player in India with 53 RMX plant operational across Pan India and is a proud contributor to the landmark projects such as, Lodha World One (Mumbai), Amritsar Entry Gate (Punjab) and the Metro Railways (Delhi, Jaipur, Noida and Mumbai). The Company is primarily engaged in manufacturing and sale of Cement and Ready Mix along with trading and manufacturing of Aggregates, which caters mainly to domestic market. Lafarge Aggregate and Concrete India Private Limited got amalgamated with the Company in FY 2015. The Board of Directors of the Company at its meeting held on 30 April 2019, had approved the Scheme of Arrangement under Sections 230 to 232 and other applicable provisions of the Act between Nirma Limited and the Company and their respective shareholders and creditors for demerger of Cement Undertaking of Nirma located at Village Nimbol, Taluka Jaitaran, Dist. Pali in the state of Rajasthan and its merger into the Company. The Hon'ble NCLT, Ahmedabad and Mumbai vide its Order dated November 25, 2019 and January 9, 2020, respectively; have passed the Order for Demerger. The Appointed Date of the Scheme is June 1, 2019 and the Effective Date of the Scheme is February 1, 2020. The Company has entered into Share Purchase Agreement for acquiring 100% of the issued and paid up share capital of Nu Vista Limited (formerly known as Emami Cement Limited) on February 6, 2020. The said acquisition was subject to the approval of CCI and other requisite approvals, if any. The Company has received in-principle approval of CCI on 21 May 2020. Pursuant to the Orders of the Hon'ble NCLT, Ahmedabad and Mumbai dated 25 November 2019 and 09 January 2020, respectively, approving the Scheme of Arrangement under Sections 230 to 232 and other applicable provisions of the Act between Nirma and the Company and their respective shareholders and creditors for demerger of Cement Undertaking of Nirma located at Village Nimbol, Taluka Jaitaran, Dist. Pali in the state of Rajasthan and its merger into the Company, the Company has on 07 February 2020, allotted 42,361,787 fully paid up equity shares having face value of Rs 10/- each of the Company to the Members of Nirma in the ratio of 29 equity shares having face value of Rs 10/- each for every 100 equity shares of Nirma having face value of Rs 5/- each. During the year 2019-20,the Company has issued and allotted 3,500 Redeemable, Listed, Secured and Rated NonConvertible Debentures having face value of Rs 1,000,000/- each aggregating Rs 350 crore on private placement basis with a tenor of 3 (three) years. The Company has redeemed Series B, Listed, Secured, Redeemable and Rated Non-Convertible Debentures ('NCDs') aggregating Rs 1,250 crore on 13 September 2019 out of the total outstanding NCDs of Rs 2,850 crore. These Non-Convertible Debentures of the Company are listed on the Debt segment of the National Stock Exchange of India Limited. Nirma has on 30 April 2019 and 07 January 2020, sold and transferred 14,00,00,000 equity shares (constituting 70% of equity stake) and 6,00,00,000 equity shares (constituting 30% of equity stake), respectively, held in the Company to Niyogi Enterprise Private Limited. As on 31 March 2020, the holding Company is Niyogi Enterprise Private Limited. The Company had acquired 100% of the issued and paid up share capital of NVL. Subsequent to the approval of CCI received on 02 July 2020, the acquisition was consummated. Pursuant to the acquisition, NVL has become a wholly owned subsidiary of the Company w.e.f. 14 July 2020. During the FY2021, the Company has issued and allotted 5,00,00,000 Compulsorily and Mandatorily Convertible Debentures ('CCDs') having a face value of Rs 100/- (Rupees Hundred only) per CCDs at par aggregating Rs 500 crore (Rupees Five Hundred crores only) to Kotak Special Situations Fund on a preferential basis. The Company produced 15,475 KT of Cement in FY 2020-21 as against 12,607 KT in the previous year. Clinker production increased to 8,888 KT as against 7,298 KT in the previous year. Cement Sales volumes increased from 12,242 KT to 15,913 KT, an increase of 30% over the previous year. The Company has allotted 54,545,455 and 18,181,819 fully paid up equity shares having face value of Rs 10/- each of the Company to Niyogi Enterprise Private Limited (the 'Holding Company') on Rights basis on 08 June 2020 and 22 July 2020, respectively. The Company has fully redeemed Series C and Series D, Listed, Secured, Redeemable and Rated Non-Convertible Debentures ('NCDs') aggregating Rs 1,600 crore on 30 June 2020. Further, during the year 2020-21, the Company has made partial early redemption of the NCDs of Rs 800 crore and Rs 650 crore on 13 October 2020 and 13 March 2021 respectively. The principal outstanding amount as on 31 March 2021 for the said NCDs was Rs 248 crore and Rs 202 crore, respectively. Further the Company has on 16 April 2021, fully redeemed the outstanding balance of the said NCDs. As on 31 March 2021, NCDs aggregating Rs 2,700 crore were outstanding. As on 31 March 2021, the Company has one wholly owned subsidiary,namely NVL and one joint venture, namely Wardha Vaalley Coal Field Private Limited. The company has allotted 15,751,303 Equity Shares to Kolak Special Situations Fund on 24 July 2021, pursuant to conversion of compuhorily and mandatorily convertible debentures. The Company has completed Initial Public Offer (IPO) of 87,719,297 Equity Shares of the face value of Rs. 10/- each comprising offer for sale of 61403508 equity shares by Promoter Selling Shareholders and fresh issue of 26315789 equity shares and consequently, the Equity Shares of the Company got listed on 23 August 2021 on BSE Limited and National Stock Exchange of India Limited. During the year 2020-21, the Company acquired 100% of equity shares of NU Vista Limited (NVL), which became a a wholly owned subsidiary of the Company w.e.f. July 14, 2020. In the Ready Mix Concrete (RMX) business division, the Company launched 4 new products, InstaMix Xpress, Artiste Signature Collection, Concreto Permadure and Concreto Ecodure. During 2019-20, the Scheme of Arrangement for Demerger of Cement Plant Undertaking of Nirma Limited located at Nimbol, Rajasthan, with the Company was effective on February 1, 2020 and resulting to the said Scheme, all the business, undertakings of Cement Division of Nirma Limited in Rajasthan along with limestone mines (Nimbol Cement Undertaking) were transferred and vested in the Company. In 2020-21, the Company installed with Captive Power Plants (CPPs) and WHRS across all integrated units and CPP at Jojobera Cement Plant. It expanded the brownfield cement grinding capacity at Jojobera Cement Plant by 1.5 MMTPA. In 2022-23, the Company launched 2 new superior cement products in the cement business viz., Duraguard Xtra F2F and Concreto Uno. It launched Concreto Glyde - designed for interior and exterior flooring underlay. In 2022-23, the Company commissioned Alternative Fuels and Raw Material (AFR) Project at Risda Cement Plant. To strengthen the RMX Presence in East and South, it opened its first all-woman Ready-Mix (RMX) Concrete Plant in Guwahati, Assam. It introduced a fleet of aluminium trucks sourced from Hindalco Industries Limited to improve logistics efficiencies and strengthen a sustainable supply chain. The Company launched 2 new products under RMX category - Artiste Flooring Solution and Instamix Superior Column Concrete in FY 2023-24. It expanded the product portfolio by introducing Duraguard F2F premium composite cement in West Bengal & Jharkhand and extending Concreto Uno premium cement in Jharkhand. It strengthened its production capabilities by commissioning a 1.2 MMTPA grinding unit the Haryana Cement Plant, by increasing total cement capacity to 25 MMTPA in 2024. It completed debottlenecking projects at Risda & Nimbol Cement Plants, resulting an increase in clinker capacity. 7 new RMX plants launched in FY 2023-24, expanding the RMX network to 58 plants. In 2025, Company has operated with an installed cement capacity of 25 million tonnes per annum (MMTPA), and clinker capacity of 13.5 MMTPA. It acquired 3 additional limestone blocks near the Company's Nimbol Cement Plant during the year. It commenced the production of Nuvoco Duraguard Microfiber at the Haryana Cement Plant in FY25.

Nuvoco Vistas Corp spurts after recording highest ever quarterly EBITDA of Rs 572 crore

Nuvoco Vistas Corporation jumped 8.11% to Rs 341.30 after the company reported 20% increase in consolidated net profit to Rs 159.76 crore on an 8.9% rise in revenue to Rs 3,128.71 crore in Q1 FY27 as compared with Q1 FY26.
The company achieved cement sales volume of 5.3 MMT in Q1FY27, registering a 5% YoY growth. Total operating expenses for the period under review added up to Rs 2,560.47 crore, up 8.8% YoY. This was primarily due to higher raw material costs (up 2.3% YoY) and higher freight charges (up 6.7% YoY). Interest payments for June 2026 quarter added up to Rs 70.28 crore, down 40% YoY. The company has reported a growth of 7% YoY in EBITDA to Rs 572 crore in Q1 FY27, achieving the highest ever EBITDA for a first quarter in the company's history. Profit before tax in Q1 FY27 stood at Rs 276.02 crore, up by 36.9% from Rs 201.60 crore in Q1 FY26. The company said that it has made significant strides in project execution as it inaugurated 2 MMTPA of Grinding capacity at Limla Cement Plant, Surat, one of the Vadraj Cement Plant facilities, ahead of schedule. This would mark a significant expansion in Western India and would release much-needed capacity at Rajasthan plants for the Northern market. The progress on project operations at Kutch also remains on track for operationalisation in phases starting from Q3 FY27. Moreover, the work has commenced on a bulk cement terminal at Viramgam, Sachana, Gujarat, which will be equipped with a dedicated railway siding. This facility is targeted for operationalisation by Q2 FY28 and will serve as a strategic distribution hub to deepen Nuvoco's presence and expand its reach across the Gujarat market. Alongside these initiatives, the Company's capacity expansion programme is progressing as planned and will increase Nuvoco's total cement capacity to 35 MMTPA by FY28. Jayakumar Krishnaswamy, managing director, Nuvoco Vistas Corp, said: 'We have had a strong start to the year, delivering higher business performance despite macro headwinds particularly emanating from geopolitical tensions. The company had acquired VCL through the Corporate Insolvency Resolution Process (CIRP) in June 2025 for a consideration of Rs 1,800 crore. The Limla facility adds 2 MMTPA of grinding capacity and forms part of VCL's integrated assets, which also include a clinker unit at Kutch, captive limestone reserves and a captive jetty, strengthening Nuvoco's manufacturing and logistics capabilities in Western India. Upon full operationalisation of the acquired assets, around 40% of Nuvoco's total cement capacity will be located in the North and West regions, supporting the company's target of expanding consolidated cement capacity to 35 MMTPA by FY2028. The facility is expected to drive phased volume ramp-up in Gujarat, improve access to Western Maharashtra, optimise logistics through synergies with the Nimbol and Chittorgarh plants, and expand the company's premium product portfolio with the Duraguard range, including Duraguard Microfibre. Nuvoco Vistas Corp slides as Q4 PAT tanks 15% YoY to Rs 141 cr

Nuvoco Vistas Corporation declined 1.99% to Rs 300.50 after its consolidated net profit slipped 14.99% to Rs 140.71 crore in Q4 FY26 as against Rs 165.54 crore in Q4 FY25.
However, revenue from operations rose 8.69% year on year (YoY) to Rs 3,306.75 crore in Q4 FY26. Profit before tax rose 4.21% YoY to Rs 233.20 crore, while EBITDA increased 6.11% YoY to Rs 590 crore, the company's highest-ever for a fourth quarter. In Q4 FY26, revenue from the cement segment rose 8.17% YoY to Rs 3,021.23 crore, while revenue from ready-mix concrete and others jumped 9.07% YoY to Rs 297.53 crore. As of March 2026, the company's net debt stood at Rs 4,445 crore. The company reported its financial performance for FY26, highlighting steady volume growth, premiumisation gains, and ongoing expansion across key projects. The company achieved a consolidated sales volume of 20.4 MMT, registering a 5% year-on-year growth during the year. Premiumisation improved significantly to 43%, up around 300 basis points YoY, maintaining an industry-leading level driven by strong demand for its flagship brands including Nuvoco Concreto and Nuvoco Duraguard. The company also announced plans to set up a bulk cement terminal at Viramgam, Sachana, Gujarat, with a handling capacity of approximately 1.5 MMTPA and a dedicated railway siding. The terminal is expected to act as a strategic distribution hub to strengthen its presence in the Gujarat market, with commissioning targeted by FY28. On the expansion front, Nuvoco Vistas Corporation continues to progress with its Vadraj Cement facilities, where clinker and grinding units are planned to be operationalised in phases starting Q3 FY27. Additionally, the company's 4 MMTPA eastern expansion project is progressing well and is expected to be completed in phases by FY28, which will take total cement capacity to approximately 35 MMTPA. The ready-mix concrete (RMX) business continued to witness strong traction, particularly in the Concreto range. During the year, the company launched Concreto Tri Shield, a specialised solution offering enhanced durability, along with the Artiste Elite Collection, a premium decorative concrete range with contemporary finishes. The building materials business (MBM), including construction chemicals, tile adhesives, and block jointing mortars, also showed healthy momentum during the year. Jayakumar Krishnaswamy, managing director (MD) of Nuvoco Vistas Corporation, said, 'FY26 marks a defining year for the company, highlighted by higher volumes, revenue, and profitability. He added that the company achieved strong growth in both EBITDA and PAT, driven by execution of core strategies focused on premiumisation, strengthening trade channels, and cost optimisation despite prevailing headwinds. Krishnaswamy noted that the refurbishment and project execution at the Vadraj Cement plant are progressing as planned, which will significantly strengthen the company's presence in the western and northern markets. On the outlook, he cautioned that geopolitical uncertainties could create near-term headwinds due to higher fuel costs and increased raw material prices for packaging materials. He further stated that the company is implementing measures including price increases, prudent procurement, cost optimisation, and supply chain efficiencies. However, he said these external pressures may impact margins for the next one to two quarters, while the company remains committed to its long-term growth trajectory.' In another filing, the company said Clean Max Ilghop Private Limited will develop a hybrid renewable energy project at Bhikamkhore, Jodhpur (Rajasthan) under a Build-Own-Operate-Transfer (BOOT) captive model. The company will acquire a 26% stake for up to Rs 26 crore in cash. The project will include development, commissioning, and operation & maintenance over a 25-year period, with a 10-year lock-in. Post-acquisition, CleanMax will become an associate company and a related party. The entity was incorporated in October 2025 and has no operating revenue so far. Nuvoco Vista Corporation (NVCL), is one of the largest cement companies and concrete manufacturers in India with a consolidated capacity of 25 MMTPA.
