Pine Labs Limited was incorporated as Pine Labs Private Limited' at New Delhi, India as a private limited company, pursuant to a certificate of incorporation dated May 18, 1998 issued by the Registrar of Companies, Delhi and Haryana at New Delhi. Subsequently, Company was converted to a public limited company and the name was changed to Pine Labs Limited' via certificate dated June 6, 2025 issued by the RoC. Pine Labs is a technology company focused on digitizing commerce through digital payments and issuing solutions for merchants, consumer brands and enterprises, and financial institutions. Company's Advanced technology infrastructure helps to accelerate the digitization journey of customers in India, Malaysia, UAE, Singapore, Australia, the U.S and Africa. It categorize the offerings into 'Digital Infrastructure and Transaction Platform' and 'Issuing and Acquiring Platform'. Digital Infrastructure and Transaction Platform allows merchants to accept payment for in-store and online purchases, powering and simplifying the checkout process across various payment form factors. The Company offer issuing and acquiring solutions to financial institutions enabling issuance of credit cards, debit cards, prepaid cards and forex cards to consumers, and enable merchant acquiring solutions. In 2005, Company launched Plutus': a payment solution to accept credit and debit cards, which streamline transactions for equated monthly instalments. In 2013, it launched PayLater in India; launched PinePerks (a part of PineLabs Prepaid): a customizable rewards and gifting solution platform, in India in 2014; expanded the business to Malaysia in 2017, acquired Qwikcilver (a part of PineLabs Prepaid) in 2019, acquired Fave in 2020, launched Pine Labs Online in 2021, acquired QFix, Mosambee, Setu, Credit+ in 2022-23. Further, Company acquired Mosambee, Setu and Credit + in FY 2023. Pine Labs Singapore got merged with the Company, pursuant to the Scheme of Arrangement as approved by Hon'ble National Company Law Tribunal (NCLT) Chandigarh bench on 09 April 2025, thus making it effective from 6 June 2025. Company launched the Initial Public Offer by raising Rs 3900 Crores and issuing 176,478,303 equity shares of face value of Re 1 each, consisting a fresh issue of 94,129,524 equity shares aggregating to Rs 2080 Crore and the offer for sale of 82,348,779 equity shares aggregating to Rs 1820 crores in November, 2025.

Pine Labs Q1 PAT jumps 309% YoY to Rs 20 crore

Pine Labs' consolidated net profit surged 308.55% year-on-year (YoY) to Rs 19.57 crore in Q1 FY27 from Rs 4.79 crore in Q1 FY26.
Revenue from operations rose 19.64% YoY to Rs 736.92 crore in Q1 FY27 from Rs 615.91 crore in the corresponding quarter of the previous year. The company reported a profit before tax (PBT) of Rs 37.73 crore in Q1 FY27, compared with a loss before tax of Rs 4.84 crore in Q1 FY26. On a segmental basis, revenue from the digital infrastructure business increased 14.90% YoY to Rs 499.12 crore in Q1 FY27 from Rs 434.37 crore in Q1 FY26. Revenue from the issuing and acquiring platform business rose 30.90% YoY to Rs 237.80 crore from Rs 181.54 crore in the corresponding quarter of the previous year. Adjusted EBITDA improved 4.13% YoY to Rs 126 crore in Q1 FY27 from Rs 121 crore in Q1 FY26. However, adjusted EBITDA margin narrowed to 17.1% from 19.6% a year earlier. Pine Labs said merchant digitisation continued to gather pace during the quarter, with platform gross transaction value (GTV) remaining above $45 billion, reflecting growing adoption by merchants and banking partners. The company's Digital Checkout Points (DCPs) grew 18% YoY to 2.17 million, while more than 70% of transactions were processed through UPI, highlighting the increasing shift towards digital, UPI-first payment solutions. The company maintained its leadership in the enterprise merchant segment in India while expanding its presence in the mid-market, where the merchant base grew over 40% YoY with the addition of more than 1.3 lakh DCPs. Flow, Affordability and Transaction Processing GTV increased over 54% YoY to Rs 91,000 crore, driven by more than 80% growth in UPI GTV and over 40% growth in Dynamic Currency Conversion (DCC) GTV. In the online business, Pine Labs added more than 40 merchants across quick commerce, e-commerce, direct-to-consumer (D2C), travel and enterprise segments during the quarter. Shopflo Checkout processed more than Rs 400 crore of D2C and SMB volumes, while the company expanded its government footprint with key wins, including the Delhi Metro Rail Corporation (DMRC), and strengthened its hospitality merchant business. Internationally, revenue rose 21% YoY to Rs 114 crore, contributing around 16% of consolidated revenue. The company expanded its presence across 22 countries by scaling deployments with GCash in the Philippines, launching new affordability programmes in the UAE and Singapore, adding airline partnerships with British Airways and TAROM, launching the Suntec Mall Card programme in Singapore, and expanding engagements with Emirates NBD and Wio Bank across the UAE, Saudi Arabia and Egypt. Pine Labs concludes acquisition of 100% stake in Shopflo Technologies

Pine Labs said that it has completed the acquisition of 100% stake in Shopflo Technologies by way of purchase of shares from the existing shareholders of Shopflo.
The company's board has approved this acquisition in April 2026. Shopflo is engaged in the business of development, deployment, operation and commercialization of a direct-to-consumer checkout platform and offers engine and e-commerce enablement services and/or solutions and technology. The company had recorded turnover of Rs 14.73 crore for the year ended in March 2025. The aforesaid stake was acquired for a cash consideration of Rs 88 crore. Pine Labs had stated that Shopflo will help the company offer D2C merchants an integrated, end-to-end platform that spans in-store payments and merchant solutions; online checkout, conversion optimization and D2C growth tools; consumer engagement and retention capabilities and seamless data and insights across channels. 'Consequent to completion of the acquisition, Shopflo has become a wholly owned subsidiary of the company with effect from 10 June 2026,' Pine Labs announced in a statement filed with the domestic bourses yesterday. Pine Labs has reported a net profit of Rs 59 crore in Q4 FY26 as against a net loss of Rs 29 crore recorded in Q4 FY25.
Revenue rose by 17% year-on-year (YoY) to Rs 701 crore during the period under review. Adjusted EBITDA improved by 73% to Rs 146 crore while Adjusted EBITDA margin expanded by 700 basis points to 21% in Q4 FY26 over Q4 FY25. The company posted a pre-tax profit of Rs 69 crore in Q4 FY26. It had registered a pre-tax loss of Rs 22 crore in Q4 FY25. For FY26, Pine Labs has reported a net profit of Rs 113 crore on revenue of Rs 559 crore. It had recorded a net loss of Rs 29 crore on revenue of Rs 84 crore in FY25. Pine Labs edges higher after signing multi-year contracts with BPCL, HPCL & IOCL

Pine Labs added 3.14% to Rs 208.40 after the company announced that it has won multiple landmark contracts from Bharat Petroleum Corporation (BPCL), Hindustan Petroleum Corporation (HPCL), and Indian Oil Corporation (IOCL).
Under the contracts executed with respective OMCs, Pine Labs will be entrusted with deploying, managing, and maintaining the digital payments infrastructure at petrol pumps and merchant outlets across India. These are multi-year contracts aimed at leveraging the expertise of Pine Labs in managing the payment rails for swifter, secure, seamless money movements at the point of sale. These will collectively cumulate to nearly 130,000 digital payments acceptance devices to be instantly deployed and maintained pan India. For IOCL specifically, Pine Labs will also be managing their loyalty rewards platform called XTRAPOWER, in popular use by lakhs of fleet operators in India.
