About the Company

The Company represents the financial services arm of the Abans Group. It operates a diversified global financial services business, headquartered in India, providing NBFC services, global institutional trading in equities, commodities and foreign exchange, private client stock broking, depositary services, asset management services, investment advisory services and wealth management services to corporates, institutional and high net worth individual clients. The Company currently has active businesses across six (6) countries including UK, Singapore, UAE, China, Mauritius and India.

Company History

Abans Holdings Limited was originally incorporated as "Abans Vanijya Private Limited" on September 24, 2009 at Kolkata, West Bengal as a private limited company under the Companies Act, 1956 with the Registrar of Companies, West Bengal. Subsequently, the name of the Company was changed to "Abans Holdings Private Limited" vide special resolution passed by the shareholders of the Company in their meeting held on November 20, 2019 and a fresh Certificate of Incorporation consequent to the change of name was granted to the Company on December 05, 2019, by the Registrar of Companies, Mumbai. Further, the Company was converted into Public Limited Company pursuant to special resolution passed by the shareholders of the Company in their meeting held on April 28, 2021 and the name of the Company was changed to "Abans Holdings Limited" and a Fresh Certificate of Incorporation consequent upon conversion of Company to Public Limited dated May 19, 2021 was issued by Registrar of Companies, Mumbai.

Use of Proceeds

The funds raised through this IPO will be used for:

Initial public offer of 1,28,00,000 equity shares of face value of Rs. 2 each ("Equity Shares") of Abans Holdings Limited (the "Company" or the "Issuer") for cash at a price of Rs. 270 per equity (including the securities premium of Rs. 268 per equity share), aggregating to Rs. 345.60.* crores ("The Offer") comprising of a fresh issue of 38,00,000 equity shares aggregating to Rs. 102.60.* croress (the "Fresh Issue") and an offer for sale of 90,00,000 equity shares by Abhishek Bansal ("The Promoter Selling Shareholder") aggregating to Rs. 243.00* crores ("Offer for Sale"). The offer constitute 25.53% of the fully diluted post offer paid-up equity share capital of the company. *Subject to the finalization of basis of allotment. The face value of equity shares is Rs. 2 each and the offer price is 135 times of the face value of the equity shares. Bids can be made for a minimum of 55 equity shares and in multiples of 55 equity share thereafter.
