Our Company operates in the Meetings, Incentives, Conferences and Exhibitions ("MICE") and Event Management segment and is engaged in providing services relating to the planning, coordination and execution of corporate events, conferences and related activities. These services are generally provided to corporate clients and institutions and involve coordination of venues, travel arrangements, accommodation, logistics management and on-site event execution support depending on the scope of the engagement. Our services are typically delivered on a project-specific basis, wherein clients engage the Company for the planning and execution of particular programs or events. A portion of the Company's assignments are received through repeat engagements from existing corporate clients, where organisations periodically organise meetings, conferences and corporate events.
Our Company was incorporated on December 15, 2020, under the name of `Eventions Private Limited', as a private limited Company under the provisions of the Companies Act, 2013, pursuant to a Certificate of Incorporation issued by Registrar of Companies, Central Registration Centre. Thereafter, our Company was converted from private limited to public limited, pursuant to special resolution passed by the shareholders of the Company at the Extra-ordinary General Meeting held on February 17, 2026 and the name of our Company was changed from "Eventions Private Limited" to "Eventions Limited" vide fresh certificate of incorporation dated February 26, 2026 issued by the Registrar of Companies, Central Processing Centre. How the company plans to utilize IPO proceeds.
The funds raised through this IPO will be used for:
Initial public issue of 32,30,400 equity shares of face value of Rs. 10 each ("Equity Shares") of Eventions Limited ("Company") for cash at a price of Rs. 118 per equity share (including a share premium of Rs. 108 per equity share) ("Issue Price") aggregating to Rs. 38.12 Crores of which up to 1,62,000 equity shares of face value of Rs. 10 each for cash at a price of Rs. 118 per equity share including a share premium of Rs. 108 per equity share aggregating to Rs. 1.91 Crores will be reserved for subscription by market maker to the issue (the "Market Maker Reservation Portion"). The issue less the market maker reservation portion i.e. Net issue of 30,68,400 equity shares of face value of Rs. 10 each at a price of Rs. 118 per equity share aggregating to Rs. 36.21 Crores is hereinafter referred to as the "Net Issue". The issue and the net issue will constitute 26.51% and 25.18% respectively of the post issue paid up equity share capital of the company. Price Band: Rs. 118 per equity share of face value of Rs. 10/- each. The floor price is 11.80 times of the face value of the equity shares. Bids can be made for a minimum of two lot (lot size consist of 2,400 equity shares each) and in multiples of 1,200 equity shares thereafter.
