About the Company
Go Fashion (India) Limited is a women's bottom-wear brand in India, with a market share of approximately 8% in the branded women's bottom-wear market in Fiscal 2020. The Company is engaged in the development, design, sourcing, marketing and retailing a range of women's bottom-wear products under the brand, `Go Colors'. The Company is among the few apparel companies in India to have identified the market opportunity in women's bottom-wear and has acted as a `Category creator' for bottom-wear. It was the first company to launch a brand exclusively dedicated to women's bottom-wear category.

Women's bottom-wear market contributed 8.3% of women's apparel market amounting to Rs. 135,470 million in Fiscal 2020. The women's bottom-wear market is expected to grow at a CAGR of 12.4% to reach Rs. 243,150 million by Fiscal 2025 and is among the fastest growing categories in women wear. Women bottom-wear products comprise the ethnic, fusion and western categories. The overall share of bottom-wear category in women's apparel is expected to increase from 8.3% in Fiscal 2020 to 9.6% in Fiscal 2025. The branded women's bottomwear market is expected to see the continued high growth in the future as well.
Company History
Go Fashion (India) Limited was incorporated on September 9, 2010 as a private limited company under the Companies Act, 1956, and was granted a certificate of incorporation by Registrar of Companies, Tamil Nadu at Chennai ("RoC"). The name of the Company was subsequently changed to Go Fashion (India) Limited upon conversion to a public limited company pursuant to the special resolution dated July 1, 2021 passed by the shareholders of the Company and a fresh certificate of incorporation was issued by the RoC on July 12, 2021.

The funds raised through this IPO will be used for:
Initial public offering of 14,689,983* equity shares of face value of Rs. 10 each ("Equity Shares") of Go Fashion (India) Limited (The "Company" or the "Issuer") for cash at a price of Rs. 690 per equity share including a securities premium of Rs. 680 per equity share (The "Offer Price") aggregating to Rs. 1013.61 crores (The "Offer"). The offer comprises of a fresh issue of 1,811,594* equity shares by the company aggregating to Rs. 125.00 crores (The "Fresh Issue") and an offer for sale by PKS Family Trust of 745,676* equity shares aggregating to Rs. 51.45 crores, VKS Family Trust of 745,676* equity shares aggregating to Rs. 51.45 crores (collectively referred to as to the "Promoter Selling Shareholders") and by Sequoia Capital India Investments IV of 7,498,875* equity shares aggregating to Rs. 517.42 crores, by India Advantage Fund S4 I of 3,311,478* equity shares aggregating to Rs. 228.49 crores and by Dynamic India Fund S4 US I of 576,684* equity shares aggregating to Rs. 39.79 crores (collectively referred to as "Investor Selling Shareholders" and together with the promoter selling shareholders, the "Selling Shareholders") ("The Offer for Sale"). The offer shall constitute 27.20% of the post-offer paid-up equity share capital of the company. *Subject to finalisation of the basis of allotment. The face value of the equity share is Rs. 10/-. The offer price is 69 times the face value of the equity shares. Bids can be made for a minimum of 21 equity shares and in multiples of 21 equity shares thereafter.

- All of company products are sold under a single brand, `Go Colors'. An inability to effectively market its products and brand, or any deterioration in public perception of its brand, could affect customer footfall and consequently adversely impact its business, financial condition, cash flows and results of operations.
- Company have incurred losses in Fiscal 2021. In the event it incur net loss in the future, its business and financial condition may be adversely affected.
- Current locations of its exclusive brand outlets may become unattractive, and suitable new locations may not be available for a reasonable price, if at all. In addition, its is exposed to all of the risks associated with leasing real estate and any adverse developments could materially affect its business, results of operations and financial condition. Further, we generated a majority of its sales from its exclusive brand outlets located in Southern and Western India and any adverse developments affecting its operations in these regions could have an adverse impact on its revenue and results of operations.
- Company carry out its operations from a single warehouse located in Southern India. Any disruption in the operation of its warehouse, including due to adverse developments in the region, may have an adverse effect on its business and prospect.
