Company History

Our Company was originally incorporated as a private limited Company under the name "Unified Data- Tech Solutions Private Limited" on May 08, 2010 under the provisions of the Companies Act, 1956 with the Registrar of Companies, Maharashtra, Mumbai ("RoC"), bearing CIN: U51900MH2010PTC202878. Thereafter, our Company was converted from a private limited company to a public limited company, pursuant to a special resolution passed in the extra ordinary general meeting of our Shareholders held on October 22, 2024 and consequently, the name of our Company was changed from "Unified Data- Tech Solutions Private Limited" to "Unified Data- Tech Solutions Limited" and a fresh certificate of incorporation consequent upon conversion to public company dated November 26, 2024, issued to our Company by the Registrar of Companies, Central Processing Centre. The Corporate Identification Number of the Company is U51900MH2010PLC202878.

The funds raised through this IPO will be used for:

Initial public offer of upto 52,92,000 equity shares of face value of Rs. 10/- each (the "Equity Shares") of Unified Data- Tech Solutions Limited ("the Company" or "the Offer") at an offer price of Rs. 273/- per equity share (Including Share Premium of Rs. 263/- per Equity Share) for cash, aggregating up to Rs. 144.47 crores ("Public Offer") comprising of an offer for sale of upto 52,92,000 equity shares by the selling shareholder ("Offer for Sale") aggregating to Rs. 144.47 crores comprising by Hiren Rajendra Mehta; out of which 2,67,600 equity shares of face value of Rs. 10/- each, at an offer price of Rs. 273/- per equity share for cash, aggregating Rs. 7.31 crores will be reserved for subscription by the market maker to the offer (the "Market Maker Reservation Portion"). The public offer less market maker reservation portion i.e. offer of 50,24,400 equity shares of face value of Rs. 10/- each, at an offer price of Rs. 273/- per equity share for cash, aggregating upto Rs. 137.17 crores is herein after referred to as the "Net Offer". The public offer and net offer will constitute 26.34% and 25.01% respectively of the post-offer paid-up equity share capital of the company. The face value of the equity shares is Rs. 10/- each. The issue price is 27.3 times with the face value of the equity shares.
