The fresh issue will bring money into Glass Wall Systems. The company plans to use up to ₹50 crore to fund capital expenditure for setting up a glass processing unit (“GPU Project”) as part of planned backward integration at its Vile Bhagad facility, with the remaining amount earmarked for general corporate purposes. The offer for sale will go to the selling shareholders, promoters Jawahar Hariram Hemrajani and Eshan Jawahar Hemrajani, and investor shareholder India Business Excellence Fund IIA (advised by Motilal Oswal Private Equity), and Glass Wall Systems will not receive any proceeds from that portion.

What Does Glass Wall Systems Actually Do

Glass Wall Systems (India) is a façade solutions and fenestration provider incorporated in 2010. Façade solutions refer to the external envelope or “skin” of a building, including glass walls, curtain walls, unitised systems and related architectural glazing. Fenestration covers windows, doors and other openings in a building.

The company operates across three verticals:

  • Façade solutions and fenestration products: Design, engineering, manufacturing and installation of glass façades, curtain walls, unitised systems, windows, doors and related products for commercial, residential, institutional and hospitality projects.
  • Aluminium trading: Trading of aluminium profiles and related accessories used in fenestration and façade applications.
  • Others: Ancillary products and services linked to the core façade and fenestration business.

Glass Wall Systems has over two decades of industry experience and, as of March 31, 2025, had completed more than 150 projects. Its client base includes real estate developers, contractors, airport authorities, hospitals and corporations across commercial, residential and institutional segments. Notable projects include The Capital, Kohinoor Square, Bagmane Rio and Lodha World One in India, and international assignments such as Jackson Avenue, 1400 South Wabash, Spark GTIC and Harper Court in the U.S., as well as Project Dove in Australia.

The company serves customers in India as well as international markets, including the United States and Australia. As of March 31, 2025, Glass Wall Systems employed 289 permanent staff.

Profit After Tax (₹ Crore)11.9557.5183.80
Net Worth (₹ Crore)114.04153.50237.41

Revenue grew from ₹282.17 crore in FY24 to ₹457.00 crore in FY26, with a dip in FY25 to ₹278.57 crore. Profit after tax increased sharply from ₹11.95 crore in FY24 to ₹83.80 crore in FY26. Net worth rose from ₹114.04 crore to ₹237.41 crore over the same period, reflecting retained earnings and a strengthening balance sheet.

On the asset side, total assets increased from ₹258.34 crore in FY24 to ₹289.57 crore in FY25 and further to approximately ₹373.33 crore in FY26 (as per RHP restated financials). The company’s profitability improved significantly in FY26, with PAT margin expanding as revenue rebounded strongly after the FY25 dip.

At the upper price band of ₹182 and FY26 basic EPS of approximately ₹9.91, the IPO is valued at roughly 18.4 times FY26 earnings. At the lower price band of ₹172, the implied P/E is approximately 17.4 times. Peer comparisons in the façade and building-products space show a wide range of valuations, with some listed peers trading at higher multiples depending on growth profiles and margins.

Objects of the Issue

PurposeAmount (₹ Crore)
Funding capital expenditure for glass processing unit (GPU Project) at Vile Bhagad facility₹50.00
General corporate purposesBalance amount

The RHP states that the company will use up to ₹50 crore from the fresh issue to set up a glass processing unit as part of planned backward integration at its Vile Bhagad facility. The remaining proceeds will be used for general corporate purposes. The offer is therefore partly a capex-driven issue, with a relatively small fresh-issue component compared with the larger offer for sale.

Strengths

  • More than two decades of experience in façade solutions and fenestration, with over 150 completed projects across India and international markets.
  • Diversified project portfolio across commercial, residential, institutional and hospitality segments.
  • Presence in India, the U.S. and Australia, reducing dependence on a single geography.
  • Strong revenue and profit growth in FY26, with revenue rebounding to ₹457 crore and PAT rising to ₹83.80 crore.
  • Improving net worth, from ₹114.04 crore in FY24 to ₹237.41 crore in FY26.
  • Backward integration through the proposed glass processing unit can improve margin control and reduce dependence on third-party processors over time.
  • Long project cycles and relationship-driven sales can create stickiness with developers and large contractors.

Risks

  • The company’s revenue and order flow are linked to the real estate and construction cycles, which can be cyclical and sensitive to interest rates, regulatory changes and macroeconomic conditions.
  • A significant portion of revenue comes from a limited set of large projects; loss or delay of key projects can affect financial performance.
  • The façade and fenestration business is working-capital intensive, with exposure to receivables from developers and contractors.
  • International operations expose the company to foreign-exchange, regulatory, geopolitical and execution risks in markets such as the U.S. and Australia.
  • Raw-material prices (glass, aluminium, steel, hardware and accessories) can be volatile and impact margins if not fully passed through to customers.
  • The offer is predominantly an exit and liquidity event for existing shareholders, with around 85–86% of the issue size coming via offer for sale rather than fresh capital.
  • FY25 saw a dip in revenue compared with FY24; while FY26 shows a strong rebound, investors will be watching for consistency in order inflows and execution.
  • Certain historical corporate records relating to share capital changes and other matters may be subject to the usual RHP risk-factor disclosures common in IPOs.
