What Does Manipal Payment & Identity Solutions Actually Do

Manipal Payment & Identity Solutions, incorporated in 2008 and part of The Manipal Group, provides payment solutions, identification solutions, secure solutions, and smart tagging and Internet of Things (IoT) solutions to banks, fintechs, non-banking finance companies and governments across domestic and international markets.

Its payment solutions cover payment cards, cheque solutions, Near-Field Communication and Quick Response code products, payment-enabled wearables and digital automation. Its identification solutions include driving licences, registration certificates, national identity cards and transit management. Its secure solutions cover secure logistics, personalisation of insurance policies, premium notices, renewal letters and tamper-evident envelopes, holograms and coated products. It also runs a smart tagging and IoT solutions business and a coated products business

In Fiscal 2026, the company served over 300 customers domestically and internationally. Its payment card business alone served over 105 customers, including 18 private banks, 9 public sector banks, 10 small finance banks, 13 co-operative banks and 34 fintech companies, with clients such as State Bank of India, HDFC Bank, ICICI Bank, Axis Bank, Kotak Mahindra Bank and Canara Bank. As of March 31, 2026, it had relationships with 60 fintech companies, including Airtel Payments Bank and Scapia, and had agreements to manufacture and personalise cards for Revolut in India.

The company exports credit cards, debit cards and metal cards to markets including the UK, Singapore, Bahrain, Hong Kong, Oman, South Africa, Bangladesh, Brazil, Nigeria, Nepal, Sri Lanka, the UAE and parts of Europe. It has recently set up subsidiaries in Nigeria, the UK, the USA and the UAE to support this international push, though most of these overseas entities are yet to commence meaningful operations.

The company operates 10 facilities across India, including card manufacturing and personalisation units in Manipal, Karnataka, and personalisation/cheque-printing facilities in Navi Mumbai, Noida, Chennai and Howrah, plus three facilities for smart tagging, IoT and coated products in Manipal and Bengaluru. It also runs Central Cards Processing Centres at five locations,  Port Blair, Raipur, Mumbai, Nagpur and Aurangabad, for biometric capture and driving licence and registration certificate printing at RTO premises. As of March 31, 2026, the company had 1,809 permanent employees and 1,509 contracted employees.

The Money Numbers

MetricFY24FY25FY26
Total Income (₹ Crore)1,267.971,277.111,356.59
Profit After Tax (₹ Crore)249.17282.21253.46
Net Worth (₹ Crore)405.05619.701,107.34

Total income grew modestly from ₹1,267.97 crore in FY24 to ₹1,356.59 crore in FY26, up about 6% between FY25 and FY26. Profit after tax, however, fell from ₹282.21 crore in FY25 to ₹253.46 crore in FY26, a decline of roughly 10%, even though FY24 PAT of ₹249.17 crore was lower still. Net worth nearly tripled, from ₹405.05 crore in FY24 to ₹1,107.34 crore in FY26, largely on the back of retained profits and a debenture-linked capital restructuring during the year.

EBITDA rose steadily from ₹355.57 crore in FY24 to ₹408.77 crore in FY25 and ₹455.83 crore in FY26, with EBITDA margin improving from 28.04% to 33.60% over the same period. However, finance costs were unusually elevated in FY25 (₹109.12 crore) due to interest on ₹450 crore of debentures issued in March 2024, and fell sharply to ₹47.91 crore in FY26 following debenture redemption and conversion, which materially improved the equity base but does not fully explain the FY26 PAT decline.

Total borrowings collapsed from ₹449.47 crore in FY24 and ₹472.87 crore in FY25 to just ₹0.42 crore in FY26, taking debt-to-equity from 1.11 to 0.76 and then effectively to zero. Return on equity fell sharply from 55.08% in FY25 to 29.35% in FY26, and RoNW fell from 45.54% to 22.93%, reflecting the much larger equity base after the FY26 capital changes rather than a decline in absolute profitability.

At the upper price band of ₹339, pre-issue EPS of ₹11.40 implies a P/E of 29.74 times, while post-issue EPS of ₹10.93 implies a P/E of 31.02 times. NAV stood at ₹48.84 per share, giving a price-to-book value of 6.94 times, down sharply from an implied 11.42 times a year earlier as net worth expanded. Post-issue market capitalisation at the upper price band works out to approximately ₹7,858.17 crore, against ₹7,538 crore pre-issue.

Objects of the Issue

PurposeAmount (₹ Crore)
Capital expenditure on equipment238.43
General corporate purposesBalance amount

Against a fresh issue of ₹320 crore, the company has earmarked ₹238.43 crore for capital expenditure on equipment, with the remaining approximately ₹81.57 crore for general corporate purposes.

Strengths

  • Backed by The Manipal Group brand and promoter Manipal Technologies Ltd., with a diversified base of blue-chip banking customers including SBI, HDFC Bank, ICICI Bank, Axis Bank and Kotak Mahindra Bank.
  • Diversified business lines spanning payment cards, identity solutions, secure logistics and IoT/smart tagging, reducing dependence on any single product category.
  • Strong and improving EBITDA margin, up from 28.04% in FY24 to 33.60% in FY26, alongside a sharply reduced debt burden after debenture redemption in FY26.
  • Deep fintech relationships, with 60 fintech partners including Airtel Payments Bank and agreements to manufacture cards for global neo-bank Revolut in India.
  • Established export footprint across the UK, Singapore, Bahrain, Hong Kong, South Africa, Brazil, Nigeria and other markets, with early-stage international subsidiaries to support further expansion.
  • High gross profit margin of 65.51% in FY26, up from 52.30% in FY24, reflecting improved product mix and cost efficiency in raw materials.

Risks

  • Profit after tax declined roughly 10% from ₹282.21 crore in FY25 to ₹253.46 crore in FY26, even as revenue grew, and FY25 profit itself was boosted by a one-time ₹110 crore exceptional gain on disposal of an investment, which did not recur at the same scale in FY26.
  • Customer concentration is high: the top 10 customers accounted for 58.67%, 60.98% and 62.51% of revenue from operations in Fiscals 2026, 2025 and 2024 respectively, so loss of a key client could materially affect revenue.
  • The IPO is valued at a post-issue P/E of 31.02 times, higher than peer Aye Finance’s 14.11 times, though below Tata Capital’s 35.99 times, making relative valuation comparisons sector-dependent and imperfect given differing business models.
  • The company has meaningful contingent liabilities, including tax and customs claims paid under protest and bank guarantees, aggregating over ₹1,483 million (roughly ₹148 crore) as of March 31, 2026.
  • The promoter group has provided multiple corporate guarantees to lenders on behalf of other Manipal Group entities (including Manipal Business Solutions, Manipal Energy and Infratech, and others), which, while not direct liabilities of the issuer, indicate broader group-level financial interlinkages.
  • Newly incorporated international subsidiaries in Nigeria, the UK, the USA and the UAE have largely not yet commenced meaningful business operations, so near-term contribution from international expansion may be limited.
  • The offer includes a full exit-style component from the promoter (₹485 crore OFS against ₹320 crore fresh issue), meaning a majority of the issue size is a liquidity event for the existing shareholder rather than new capital for the business.
